Terms of Service

These Terms of Service (the “Terms”) are a legally binding agreement between you and Chysel Performance LLC (“Chysel,” “we,” “us,” or “our”). They govern your access to and use of our websites, applications, ecommerce storefront, memberships, AI-powered recommendations and Optimize-related features, community areas, and related services (collectively, the “Services”).

By accessing or using the Services, creating an account, placing an order, joining a waitlist, or accepting these Terms, you agree to be bound by them. If you do not agree, do not use the Services.

Supplemental terms for specific products or programs may apply; if they conflict with these Terms, the supplemental terms control for that offering. Our collection and use of personal information is described in our Privacy Policy (currently a draft/stub pending counsel review).

The contracting party is Chysel Performance LLC. “Chysel” is our brand name. Sites include chysel.com, chysel.vercel.app, and related properties we operate.

The Services are intended for users who are 18 years of age or older. By using the Services, you represent that you are at least 18 and have legal capacity to enter these Terms. We do not knowingly market memberships or sell merchandise to minors under 18.

The Services are oriented to the United States. Features, shipping, labs, pricing, and support may be limited or unavailable outside the U.S. You are responsible for compliance with local laws where you access the Services.

You must provide accurate registration information, keep credentials confidential, and update changes promptly. You are responsible for activity under your account. Notify us at hello@chysel.com of suspected unauthorized use. We may refuse, suspend, or terminate accounts that violate these Terms or create risk for us or others.

3.1 Orders and acceptance

Product listings are invitations to order, not binding offers. We may accept, reject, or cancel orders (including after confirmation) for inventory errors, pricing mistakes, suspected fraud, shipping restrictions, or Terms violations. If we cancel after payment capture, we will refund amounts charged for canceled items to your original payment method where practicable.

3.2 Pricing and taxes

Prices are shown in U.S. dollars unless stated otherwise and may change before you place an order. Taxes, duties, and fees may be calculated at checkout or collected later as required. Promotional codes have stated conditions; we may modify or discontinue promotions.

3.3 Shipping

Methods, rates, destinations, and estimated delivery windows appear at checkout or in order communications when available. International shipping, if offered, may involve duties you must pay.

3.4 Risk of loss

Title and risk of loss for physical goods pass to you upon our delivery to the carrier, unless applicable law requires otherwise or we state a different rule for a specific order. Track packages and report carrier issues promptly.

3.5 Product descriptions; colors and fit

Descriptions, images, sizing charts, materials, and performance claims are provided in good faith and are approximate. Colors may vary by display; fit varies by body type. Follow care labels. We do not warrant that products will meet every athletic use case.

3.6 Returns and exchanges

Our return and exchange policy will be posted at checkout, on product pages, or a dedicated Returns page. The following apply unless a product page or checkout policy states otherwise:

• Request returns within 15 days of delivery for eligible unworn and undamaged merchandise. Keep tags attached if applicable; items should be unwashed and in resalable condition.
• Certain items may be final sale as labeled (e.g., intimate apparel, clearance, personalized).
• You may be responsible for return shipping unless we specify otherwise or the item is defective.
• Refunds: If approved after we receive and inspect the return, refunds to the original payment method typically process within 3–5 business days. Store credit refunds process instantly.
• Defective or incorrect items: contact hello@chysel.com with order details and photos.

Nothing here limits non-waivable consumer rights under applicable law.

3.7 Prohibited uses

You may not resell our goods commercially without written permission; scrape pricing or inventory for competitive purposes; place fraudulent or abusive orders; harass staff or customers; or use products unlawfully or contrary to posted care/safety instructions.

Chysel’s AI-powered recommendations, Optimize membership content, meal plans, supplement guidelines, training or recovery suggestions, educational materials, and related tools (collectively, “Optimize Features”) are provided for general wellness, performance, and educational purposes only.

• Not medical advice, medical care, or regulated clinical decision support.
• Do not diagnose, treat, cure, or prevent any disease or medical condition.
• Use does not create a physician–patient, clinician–patient, or other professional healthcare relationship with Chysel Performance LLC or our personnel.
• Recommendations depend on your inputs and automated systems; they may be incomplete, inaccurate, or unsuitable for you.
• Consult qualified licensed clinicians before starting, stopping, or changing health-related practices—especially with medical conditions, pregnancy, nursing, prescription drugs, disordered eating history, or injury.
• Emergencies: call 911 (or your local emergency number). Do not use the Services for emergency care.

You assume responsibility for how you use Optimize Features. Clarity over hype is our standard—not a guarantee of outcomes. We may update or discontinue features at any time.

If we offer lab coordination, blood-work panels, biomarker summaries, or related services:

• Independent licensed clinicians and/or third-party laboratories may order, collect, process, or review clinical tests where legally required.
• Chysel Performance LLC is not the ordering clinician and does not practice medicine through the Services.
• Any AI or automated analysis of lab results or questionnaires is educational and informational only—not a clinical interpretation, diagnosis, or treatment plan.
• Lab availability, inclusions vs. pass-through fees, turnaround, and geography depend on partners and will be disclosed at enrollment. [Draft note: marketing figures such as example $499/year are illustrative until live offer terms are published.]
• You authorize sharing necessary information with labs, clinicians, and vendors to perform requested services, subject to our Privacy Policy and law.
• You are responsible for following clinician instructions on fasting, medications, and follow-up care.

If we offer paid subscriptions or memberships (including Optimize):

• Billing. Fees, intervals, and inclusions appear at checkout or enrollment. [PLACEHOLDER: exact inclusions, lab fee pass-throughs, and taxes.]
• Auto-renewal. Memberships automatically renew at the then-current rate for successive periods of equal length unless you cancel before the renewal date. We will present auto-renewal disclosures as required by law.
• Cancellation. To avoid being charged for the next period, cancel before your renewal date via account settings or by contacting hello@chysel.com. Cancellation stops future renewals; it does not automatically refund the current period unless required by law or our posted policy.
• Refunds. Membership fees are non-refundable, except where required by law or expressly stated at purchase.
• We may change pricing or inclusions with notice as required; we may suspend memberships for nonpayment, abuse, or Terms violations.

If you submit reviews, comments, waitlist info, photos, progress notes, forum posts, or other content (“User Content”), you retain ownership and grant Chysel Performance LLC a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, use, reproduce, modify, adapt, publish, translate, distribute, and display that content in connection with operating, improving, and marketing the Services, subject to our Privacy Policy for personal data.

You represent you have rights to the content and that it does not infringe others’ rights or violate law.

• No medical advice from peers. Community content is not medical advice. Do not rely on other users for diagnosis, treatment, dosing, or clinical decisions.
• Prohibited health claims. No personalized dosing or prescription advice; no diagnose/treat/cure/prevent claims; no dangerous “protocols”; no sharing others’ private health information; no deceptive health claims.
• We may remove content and suspend users for harassment, spam, IP infringement, or prohibited health content. We are not obligated to monitor all content.

You agree not to reverse engineer or interfere with the Services; scrape or harvest data except via interfaces we authorize; introduce malware; bypass access controls; violate law or others’ rights; misrepresent AI output as medical advice; attempt unauthorized access; or use Optimize Features unlawfully in your jurisdiction.

The Services—including software, design, text, graphics, logos, trademarks (including “Chysel”), product designs, and AI model outputs we generate for the Services—are owned by Chysel Performance LLC or our licensors. Except for the limited license to use the Services as intended, no rights are granted. Feedback you provide may be used by us without obligation to you.

The Services may link to or integrate payment processors, carriers, labs, clinicians, analytics, or other vendors with their own terms and privacy practices. We are not responsible for third-party services except as required by non-waivable law.

To the maximum extent permitted by law, the Services and all products are provided “as is” and “as available.” Chysel Performance LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted operation; that AI outputs or Optimize Features will be accurate, complete, or appropriate for you; that merchandise will meet your performance expectations; or that lab coordination will be available in all locations or timeframes. Some jurisdictions do not allow certain disclaimers; in those cases, disclaimers apply to the fullest extent permitted.

To the maximum extent permitted by law, Chysel Performance LLC and its officers, directors, employees, agents, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, data, or goodwill; or personal injury/health outcomes arising from reliance on Optimize Features or AI outputs—even if advised of the possibility.

Draft liability cap (for attorney review): To the maximum extent permitted by law, Chysel Performance LLC’s total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total amounts you paid to Chysel for the product or service giving rise to the claim during the twelve (12) months immediately preceding the claim, or (b) one hundred U.S. dollars ($100).

Nothing excludes liability that cannot be limited under applicable law (including certain consumer rights and liability for fraud or willful misconduct where non-waivable).

You will defend, indemnify, and hold harmless Chysel Performance LLC and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: your misuse of the Services or products; your User Content; your violation of these Terms or law; your reliance on Optimize Features contrary to Section 4; or disputes between you and third parties related to your use of the Services.

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-law rules, except where mandatory consumer protections of your state of residence apply.

Venue. Subject to any arbitration agreement counsel may later approve, you and Chysel agree that the state and federal courts located in North Carolina will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction and venue in those courts.

Draft dispute process (non-final): Before filing a claim, contact hello@chysel.com and attempt informal resolution for 30 days. [Optional draft for counsel: binding individual arbitration seated in North Carolina; class actions waived to the extent permitted by law; small-claims court excepted.] Either party may seek injunctive relief for IP or unauthorized access in a court of competent jurisdiction in North Carolina.

You may stop using the Services at any time. We may suspend or terminate access immediately for breach, legal risk, nonpayment, or discontinuation of the Services. Provisions that by nature should survive (including IP, disclaimers, liability limits, indemnity, and dispute terms) survive termination.

We may update these Terms from time to time. We will post the revised Terms and update the effective date. Material changes may be communicated by email or prominent notice where required. Continued use after the effective date constitutes acceptance, except where law requires affirmative consent. If you do not agree, stop using the Services and cancel any memberships per Section 6.

These Terms, together with order confirmations, posted policies (Returns, Privacy), and supplemental terms, are the entire agreement between you and Chysel Performance LLC regarding the Services. If any provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver. You may not assign without our consent; we may assign in connection with a merger, acquisition, or sale of assets. Notices: hello@chysel.com. Headings are for convenience only.
